1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

To use our Service, you must:

• Be at least 13 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

3. Account Registration

3.1 Account Creation

• Google Sign-In
• Apple Sign-In

• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Service Description

Dropin Card provides:

• Digital business card creation and management
• QR code generation and sharing
• NFC card sharing capabilities
• Business card scanning (AI-powered OCR)
• Contact management
• Lead capture functionality
• Analytics and engagement tracking
• Team management features (for applicable plans)

5. Subscription Plans and Payments

5.1 Free Plan

The Free plan includes basic features with limitations on the number of cards and features available (1 digital card profile).

5.2 Paid Plans

We offer paid subscription plans (Pro, Team) with additional features. By subscribing to a paid plan, you agree to:

• Pay all applicable fees
• Provide accurate billing information
• Authorise recurring charges

5.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payments are processed securely through Stripe
• Prices are in Australian Dollars (AUD) unless otherwise specified

5.4 Cancellation and Refunds

• You may cancel your subscription at any time through the app
• Cancellation takes effect at the end of the current billing period
• Refunds are provided in accordance with Australian Consumer Law
• No refunds for partial subscription periods unless required by law

5.5 Price Changes

We reserve the right to modify pricing with reasonable notice. Price changes will not affect current subscription periods.

5.6 Free Trial

• You will not be charged during the trial period
• Your subscription will automatically convert to a paid plan at the end of the trial unless cancelled
• Trial availability and duration may vary

6. User Content

6.1 Your Content

You retain ownership of content you create, upload, or share through the Service ("User Content"), including profile information, business card designs, images and logos, and contact information.

6.2 License Grant

By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your content solely for the purpose of providing and improving the Service.

6.3 Prohibited Content

You agree not to upload or share content that:

• Is unlawful, harmful, threatening, abusive, or defamatory
• Infringes intellectual property rights
• Contains malware or harmful code
• Impersonates others or misrepresents your affiliation
• Violates privacy rights
• Is spam or unsolicited advertising

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Scrape, harvest, or collect user information without consent
• Use automated systems to access the Service without permission
• Reverse engineer or decompile any part of the Service
• Resell or redistribute the Service without authorization
• Use the Service to send spam or unsolicited communications
• Create multiple accounts for abusive purposes

8. Intellectual Property

The Service, including its design, features, content, trademarks, and logos, is owned by Solution22 and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

9. Third-Party Services

The Service may integrate with third-party services (e.g., Google, Apple, Stripe). Your use of these services is subject to their respective terms and privacy policies. Our Service may also contain links to third-party websites for which we are not responsible.

10. Disclaimers

We do not guarantee that the Service will be uninterrupted or error-free, that defects will be corrected, or that results from using the Service will meet your expectations.

11. Limitation of Liability

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR AUD $100, WHICHEVER IS GREATER.

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

12. Indemnification

You agree to indemnify and hold harmless Solution22, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or your User Content.

13. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. Any disputes arising from these Terms or the Service shall be resolved through: (1) Good faith negotiation, (2) Mediation if negotiation fails, (3) Courts of Victoria, Australia if mediation fails.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice in the app, sending an email to your registered address, and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
